The term ‘Tutopia’ or 'us' or 'we' refers to the owner of the Tutopia Limited and the services provided. The term 'users' refers to client, students, or tutor.

Neither we nor any third parties provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness or suitability of the information and materials found or offered for any particular purpose. Users acknowledge that such information and materials may contain inaccuracies or errors and we expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law.
Users of Tutopia's services and tutors do so with the understanding that any information or materials provided by us entirely at their own risk, for which we shall not be liable. It shall be the user's own responsibility to ensure that any products, services or information available meet with their specific requirements.
From time to time our website may also include links to other websites. These links are provided for your convenience to provide further information. They do not signify that we endorse the website(s). We have no responsibility for the content of the linked website(s).
Users may not create a link to this website from another website or document without Tutopia Limited's prior written consent.
Users use of this website and any dispute arising out of such use of the website is subject to the laws of England, Scotland and Wales.
Tutopia Limited acts as agent on behalf of the tutor (Tutor) and will introduce the Tutor to the client (Client).
Fees and Payment -
The billing process will be under the control of Tutopia who shall send an invoice to the client at the end of each calendar month. Payments must be made to Tutopia within 10 days of the date of the invoice.
The fees will be calculated at a rate agreed in advance between Tutopia and the client hour based upon the timesheets submitted by the Tutor. The Client/Parent shall ensure that each timesheet is checked.
Payments must not be made directly to the Tutor at any time.
All expenses (including books and travel) must be agreed with the Tutor in advance.
Non - solicitation
The Client/Parent or student is not permitted to make private arrangements for tuition with a Tutor introduced by Tutopia. Should a breach of this obligation occur, they will be liable to account to Tutopia for all sums paid to the Tutor without deduction and Tutopia shall be entitled to obtain an injunction against any party to prevent further breaches. This obligation shall continue notwithstanding termination of this agreement.
Tutopia do not accept any liability for any claims by the Client arising out of or related to the carrying out of the tutoring by a Tutor introduced by Tutopia.
Tutopia reserves the right to alter these terms and conditions. Tutopia will, however, notify the Client in writing of any changes.
Unless otherwise agreed in writing by a Director of Tutopia, these terms and conditions shall prevail over any other terms of business or conditions put forward by the Client.
No variation or alteration of these terms and conditions shall be valid unless approved in writing by a Director of Tutopia.
Acceptance of our services will be taken to represent agreement to these Terms and Conditions.
The following arrangements are understood and agreed by both parties:
Once a tutoring position has been confirmed, both the tutor and the client (the student, or the student's parent/guardian) are entering into a contract between one another. Tutopia acts as an agent on behalf of the tutor and the student. Tutopia is only responsible for finding students and an appropriate tutor for the specific subject, and is not responsible for the content of lessons and the teaching methods.
The terms of contract entered into by the tutor with the client shall be in the form provided by Tutopia unless otherwise agreed by Tutopia.
In consideration of Tutopia providing the tutor with students, the tutor is not permitted to make private arrangements for tuition with clients introduced by Tutopia or with new clients introduced by Tutopia clients. Should the tutor breach this obligation, they will be liable to account to Tutopia for all sums received by them from the client/new client without deduction and Tutopia shall be entitled to obtain an injunction against you to prevent further breaches. This obligation shall continue notwithstanding termination of this Agreement. In the event that a client introduced by Tutopia approaches the tutor with the intention or suggestion of entering into private arrangement that breaches any of the terms contained in this agreement, it is the tutor's responsibility to immediately notify Tutopia in writing (defined as within 24 hours of). Failure to do so constitutes a breach of these terms and conditions.
Any work referred to a tutor by a client of Tutopia must be billed through Tutopia on your behalf. Tutopia is happy to negotiate on commission for new clients referred to you by our clients but Tutopia must process the billing.
You and the client are responsible for finding and agreeing on a suitable environment in which tuition can take place. Where tuition takes place in the client's home (or other environment specified by the client) on a residential basis, it is the responsibility of the client to make all efforts to provide at their expense suitable accommodation, amenities and food for the tutor. Where preferable or appropriate, reasonable financial remuneration may be offered in lieu of such arrangements, subject to the agreement by all parties, and is to be agreed prior to commencement of the job.
Tutopia will agree the fee structure with the client and this must not be changed without written authority of Tutopia.
As part of the service, Tutopia will collect the fees due from students and passing them on to the tutor, net of a commission. Tutopia invoices clients on behalf of tutors, based on time sheets submitted into the Tutopia website.
It is the tutor's responsibility to fill in their online time sheets after each lesson. Late completing these time sheets or incorrectly inputted information on them may result in payment may be delayed. Payments to tutors will only be made once the client has paid the invoices.
It is the tutor's responsibility to keep their on-line time sheet up to date. Tutopia recommends that tutors keep a signed record of all lessons taught (or cancelled with less than 24hrs notice) and expenses agreed with client (signed by client after each lesson). Tutors will not be paid directly by the client. Tutopia sends an invoice to the client, on behalf of and as an agent for you (the tutor), at the beginning of each calendar month to cover the previous month's tuition. Our payment terms are 10 days upon issue of the invoice. Tutors will not be entitled to receive their fee until Tutopia has received payment from the client. If Tutopia does not receive payment in a reasonable time, Tutors may obtain written permission from a Director of Tutopia to invoice the client directly.
Tutors must not accept any payment direct from the client without the written permission of a Director of Tutopia. Should they do so, all sums received by the tutor will be immediately payable to Tutopia and shall be actionable through the Courts without further notice to you.
The tutor undertakes to Tutopia that they will duly pay the tax and national insurance contributions which are due from you whether in the United Kingdom or elsewhere in relation to the payments to be made to you by Tutopia under this Agreement and further agree to indemnify Tutopia in respect of all and any income tax and national insurance contributions which may be found due from Tutopia on any payments made to the tutor under this agreement together with any interest, penalties or gross-up thereon.
For the purposes of record keeping, the tutor will account for the full fees due from the student as income and the commission as expenditure.
All expenses (books, travel, etc) must be agreed with client first, unless the client expressly waves this right. Tutors are required to keep all receipts, and it is the responsibility of the tutor to return teaching materials to shop if client does not want to buy them.
Tutors are expected to pay for their own reasonable travel costs (in London within zones 1-3), subject to negotiation. Any travel expenses incurred by the tutor without the prior agreement of the client will not be reimbursed to them. Tutopia operate a 'what is reasonable' policy when ascertaining appropriate levels of remuneration for the tutor's time spent travelling.
Both the client and the tutor must notify the other in advance of any holiday commitments they may have; and any changes to the tuition timetable necessary because of illness. An alternative date will be arranged, or Tutopia will provide a suitable replacement. Tutopia recommend that the tutor agree a 24hour cancellation policy with the client so that Tutopia can charge them if they cancel the lesson at short notice. It is the responsibility of the tutor to have agreed this and the chargeable cancelled hours with the client before Tutopia will charge for them.
Tutopia does not accept any liability for any claims by the client arising out of or related to the carrying out of the tutoring by the tutor and the tutor agrees to indemnify Tutopia without limit in respect of any such claims.
The tutor undertakes that they shall not at any time during this agreement, and for a period of five years after termination of this agreement, disclose to any person any confidential information concerning the business, affairs, customers, clients or suppliers of Tutopia, except that the tutor may disclose Tutopia’s confidential information as may be required by law, court order or any governmental or regulatory authority.
The tutor shall not use Tutopia’s confidential information for any purpose other than to perform your obligations under this agreement.
Data Protection Act
Tutopia uses tutor data for the purposes of the services that it provides. Tutors providing personal data consent to the use of that data by Tutopia for the purpose of effecting introductions to clients, for billing and fee collecting purposes and to enable Tutopia to contact the tutor from time to time.
Tutopia reserves the right to alter these terms and conditions. Tutopia will, however, notify you in writing of any changes.
Unless otherwise agreed in writing by a Director of Tutopia, these Terms and Conditions shall prevail over any other terms of business or conditions put forward by you.
